Terms of service

of Titan Grid s.r.o., with registered office at Rybná 716/24, 110 00 Prague 1, Czech Republic, Company ID 24342441, VAT ID CZ24342441, registered in the Commercial Register maintained by the Municipal Court in Prague, section C, insert 439620 (the "Provider").

The Provider operates the service under the VIALCHECK brand at vialcheck.eu.

Note on language. These Terms are a translation of the Czech version. In case of any discrepancy, the Czech wording prevails.

1. Introductory provisions, definitions

1.1. These General Terms and Conditions (the "GTC") constitute commercial terms within the meaning of Section 1751 of Act No. 89/2012 Coll., the Civil Code, as amended (the "Civil Code"). Unless expressly agreed otherwise, these GTC apply to all orders placed by the Customer and to all contractual relationships between the Customer and the Provider concerning the provision of the Services.

1.2. The Provider arranges for chemical analysis of samples and issues a test report. The Provider does not operate a laboratory and does not perform the analysis itself — the analysis is performed by a contracted laboratory pursuant to Article 7.

1.3. The Customer is the person to whom the Services are provided by the Provider. Where the Customer is a consumer within the meaning of Section 419 of the Civil Code, these GTC apply only to the extent they do not conflict with mandatory consumer protection provisions.

1.4. The subject of the contractual relationship is the Provider's obligation to provide the Services properly and on time and the Customer's obligation to pay the agreed price.

1.5. The Provider is not an accredited testing laboratory within the meaning of ČSN EN ISO/IEC 17025 and the test reports issued by the Provider are not accredited test protocols. This fact is stated on every test report.

2. The Contract

2.1. The Contract is formed upon payment of the order price by the Customer via the payment gateway or upon crediting of the payment to the Provider's bank account. By submitting an order the Customer makes an offer to conclude the Contract; the Provider is not obliged to accept the order.

2.2. The Contract is not formed by delivery of a parcel containing a sample to the Provider's address. Taking receipt of a parcel without an existing paid order creates no obligation on the part of the Provider towards the Customer.

2.3. The GTC form an integral part of the Contract. By ticking the relevant box during the ordering process the Customer accepts the GTC.

2.4. Customers place orders for the Services through the Provider's online store at vialcheck.eu.

2.5. The content of the Contract is not bound by any terms and conditions of the Customer or of a third party; the provisions of the Contract and of these GTC always take precedence.

3. Subject of performance

3.1. The subject of performance is the arrangement and performance of an analysis of a sample to the extent selected by the Customer at the time of the order, and the issue of a test report.

3.2. The standard scope of analysis comprises:
- chromatographic purity (RP-HPLC),
- confirmation of the identity of the substance (LC-MS),
- quantification of the active substance content against a reference standard,
- raw data (chromatogram, spectrum),
- an entry in the public register pursuant to Article 10.

3.3. The specific scope is determined by the order and by the description of the relevant Service on the Provider's website.

4. Orders

4.1. The Customer shall state in the order in particular:
- a) the type and scope of the Services required,
- b) a contact e-mail address; unless stated otherwise, this means the e-mail address given in the order,
- c) billing details,
- d) unambiguous identification of the sample (declared substance and declared amount).

4.2. After payment of the order the Customer shall, using the form at vialcheck.eu/pages/submit-sample, notify the Provider of the tracking number of the parcel containing the sample and the contents of the parcel. This is a material obligation of the Customer pursuant to Article 6.

4.3. In the same form the Customer may state the details to appear in the header of the test report (client name, sample name). If not stated, the test report and the public register will show "Anonymous submitter".

4.4. The Provider is entitled to refuse individual or specific requirements raised by the Customer after conclusion of the Contract.

4.5. The Customer shall notify the Provider of any change of e-mail address. Should the Customer fail to do so, the Provider is entitled to send all outputs to the address given in the order and such delivery shall be deemed proper.

5. Delivery times

5.1. The guaranteed turnaround, being the period within which the Provider undertakes to arrange for the analysis and issue the test report, is 30 days from acceptance of the sample, absent unexpected complications.

5.2. In periods of higher workload the turnaround may be longer. Should this occur, the Provider will inform the Customer before the deadline expires, not after it.

5.3. Acceptance of the sample means taking receipt of the parcel and checking whether the sample was delivered in a condition suitable for analysis. The moment of acceptance is the moment the Provider sends the confirmation e-mail of acceptance to the Customer's e-mail address.

5.4. The Provider shall carry out acceptance of the sample within 3 working days of physical delivery of the sample by the carrier.

5.5. If the order does not contain the tracking number pursuant to Article 4.2., the period under Article 5.4. is extended by the time until the Customer supplies the tracking number, plus 3 working days.

5.6. The turnaround may be extended for reasons of the technological duration of the analysis.

5.7. The Provider shall inform the Customer of damage to the sample which prevents the Service from being performed. Receipt of a damaged sample does not start the guaranteed turnaround.

6. Rights and obligations of the Customer

6.1. The Customer shall provide the sample in the sufficient quantity stated in the Provider's instructions, unopened and in its original packaging, and shall at the Provider's request provide further samples or necessary explanations without undue delay.

6.2. The Customer shall declare the substance and its amount truthfully. The Provider measures against what the Customer declares; an incorrect declaration produces a test report that is correct but of no use to the Customer.

6.3. Where the sample contains or may contain substances with hazardous properties (in particular explosive substances, substances liable to spontaneous combustion, substances which emit flammable gases on contact with water, organic peroxides, poisons, infectious substances, narcotic and psychotropic substances and radioactive substances; "Hazardous Substances"), the Customer shall state this in advance in the order.

6.4. If the Customer fails to give advance notice of the hazardous properties of the sample sent, the Customer bears full liability for any resulting damage to property and health.

6.5. By dispatching the sample the Customer represents that it is entitled to handle the substance and that by sending it the Customer does not breach the laws of the country of dispatch or of the country of destination. The Provider is not obliged to verify this representation.

6.6. The Customer agrees that the Provider performs the Service through a contracted laboratory. The Provider is liable to the Customer for the Service so performed as if it had performed it itself.

6.7. The Customer bears the risks and costs of transporting the sample to the address designated by the Provider. The Customer undertakes to pack the sample in accordance with the Provider's instructions.

6.8. The Customer has the right to resend the sample if it is lost or if its delivery is prevented.

6.9. The Customer has the right to a refund and to cancellation of the Contract where the sample is lost during transport or damaged so that analysis is impossible.

6.10. The Customer acknowledges that during performance of the Service samples or parts of them are consumed, altered or destroyed. The Provider is not liable for samples so consumed, altered or destroyed.

6.11. The Customer shall deliver the sample within 3 months of conclusion of the Contract, or inform the Provider of a delay within that period.

7. Performance of the analysis by the contracted laboratory

7.1. The Provider is not a laboratory. The sample is delivered to the address designated by the Provider, who receives it, checks it and passes it to the contracted laboratory which performs the analysis.

7.2. The choice of contracted laboratory rests solely with the Provider. The Provider is entitled to change the laboratory without the Customer's consent.

7.3. The Provider is not obliged to publish or disclose to the Customer the identity of the contracted laboratory where so agreed with that laboratory. The Provider nevertheless remains fully liable to the Customer for the result, and the test report is issued by the Provider in its own name.

7.4. The contracted laboratory receives the sample and the details intended for the header of the test report. The Customer's contact details and payment details are not passed to the contracted laboratory.

8. Rights and obligations of the Provider

8.1. The Provider is entitled to refuse to perform the Service where the sample is incorrectly labelled so that it cannot be unambiguously identified, where the sample is evidently degraded, or where the quantity of sample material is insufficient.

8.2. The Provider will not perform the analysis if no sample is delivered.

8.3. If the Customer fails to comply with Article 6.11., the Provider is entitled to treat its obligation as fulfilled without any right of the Customer to a refund.

8.4. The Provider may suspend performance of its obligations or terminate the contractual relationship upon written notice to the Customer where:
- a) the Customer is in default with payment of its obligations,
- b) the Customer has materially breached its obligations and the breach is not remedied within 30 days of notice, or
- c) the Customer is served with notice giving thirty days expressing the Provider's intention to terminate the relationship, with or without reason.

8.5. The Provider is entitled to comply with its statutory obligations and with the requirements of supervisory authorities, in particular the obligation to keep records of samples and orders and the obligation to destroy the remainder of the sample after analysis.

9. Prices and payment terms

9.1. Prices for the Services are those stated in the price list on the Provider's website, valid on the day the order is submitted. The Provider is not a VAT payer; the prices stated are final.

9.2. The Provider requires payment in advance. Payment of the price is deemed to form the Contract pursuant to Article 2.1.

9.3. Payment may be made by payment card, bank transfer, or other methods offered during the ordering process. The Provider is entitled to refuse other methods of payment.

9.4. The Provider sends invoices to the Customer in electronic form by e-mail.

9.5. The Customer consents to the storage of billing details and authorises the Provider to issue invoices with the same details for further orders.

9.6. Where the Service cannot be completed for reasons not attributable to the Provider, the Provider is entitled to require payment for the part of the Service already performed.

9.7. The Customer is entitled to a refund for Services or parts thereof not performed where the Service could not be completed for reasons other than on the Customer's side.

10. Test report and public register

10.1. Publication of the result is a condition of ordering the Service. Every completed test is entered in the public register on the Provider's website, including tests that fail. A Customer who is not willing to have the result published must not place an order.

10.2. The register always states the report number, the substance analysed, the measured values and the date. The Customer's name is shown only if the Customer has so chosen; otherwise the entry shows "Anonymous submitter".

10.3. The Customer has no right to require removal, alteration or non-publication of the result. The sole exception is subsequent anonymisation of the Customer's name at the Customer's request.

10.4. A test report cannot be altered after issue. A new test report is issued only on account of an error on the Provider's side; the Provider will inform the Customer of any such correction and state the reason.

10.5. A test report must not be reproduced otherwise than in full, including the verification details.

10.6. A test report is deemed delivered at the moment it is sent by e-mail by the Provider.

10.7. A test report speaks only of the sample received by the Provider, not of the batch, production series or product as a whole.

10.8. The Customer acknowledges that a test report does not of itself constitute approval of a product by any authority.

11. Withdrawal from the contract and consumer rights

11.1. Where the Customer is a consumer, the Customer generally has the right to withdraw from a distance contract for services within 14 days. By submitting the order the Customer expressly requests that the Provider begin performance before that period expires and acknowledges that the right of withdrawal ceases upon complete performance of the Service within the meaning of Section 1837(a) of the Civil Code.

11.2. In practice this means:
- a) before the sample reaches the Provider — the Customer may cancel and receive a full refund;
- b) after acceptance of the sample but before the analysis — the Customer may cancel; the price is refunded less costs already incurred;
- c) after the test report has been issued — the Service is completely performed and the right of withdrawal has ceased.

11.3. This Article is without prejudice to the consumer's rights arising from defective performance under Article 12.

12. Quality, liability for defects and for damage

12.1. The Provider declares that it arranges for the Services with professional care, through a contracted laboratory with appropriate instrumentation.

12.2. The Provider is not liable for defects caused by deficiencies in the materials or information provided by the Customer, by an insufficient quantity of sample, by incorrect labelling of the sample or by its degradation before acceptance by the Provider.

12.3. The remainder of the sample is retained for 30 days from issue of the test report so that it is available in the event of a complaint. After that period the remainder is disposed of as hazardous waste. Samples are not returned.

12.4. The Customer shall notify the Provider of defects in performance in writing or by e-mail within 30 days of delivery of the test report, that is, while the remainder of the sample still exists. After that period nothing can be verified against the material.

12.5. The costs of a justified complaint are borne by the Provider; the costs of an unjustified complaint are borne by the Customer.

12.6. Where a complaint is upheld, the Provider will, by agreement with the Customer, arrange remedy of the defect within a reasonable period or provide substitute performance on the original terms.

12.7. The Provider's liability arising from a single order is limited to the price of that order. Non-material damage is not compensated. The Provider is not liable for decisions made by anyone on the basis of the result, nor for the substance itself.

12.8. A test report binds the Provider only towards the Customer. No third party may derive any claim from a test report against the Provider or against the contracted laboratory. A seller quoting a test report does not thereby make any promise for which the Provider is answerable.

13. Scope and purpose of the analysis

13.1. Substances analysed are intended solely for laboratory and research purposes. They are not medicinal products, food supplements or medical devices and are not intended for administration to humans or animals.

13.2. Within the Service the Provider performs solely the determination and reporting of the measured result. The Provider is not obliged to, and is entitled not to, provide any services consisting in evaluating or comparing measured results against applicable legislation, against previously measured results or against results measured by a third party.

13.3. The Provider does not assess whether any substance is suitable for any purpose.

14. Delivery and customs

14.1. The Provider reserves the right to disclose to the Customer the address designated for delivery of the sample and the instructions for packing and dispatch only after payment has been received.

14.2. If the Customer fails to comply with Article 4.2. by the time the parcel reaches the Provider's address, or by the time the parcel becomes subject to customs proceedings, the parcel is unidentifiable. The Provider is entitled to refuse to accept an unidentified parcel and to destroy its contents without delay and without compensation.

14.3. The Provider is entitled to refuse to accept a parcel and to destroy its contents without compensation where:
- a) the Customer has not paid for the Service before the parcel is received,
- b) the contents of the parcel do not correspond to the order.

14.4. Where the Customer dispatches the sample from outside the European Union, the Customer shall state on the customs declaration the details given in the Provider's instructions.

14.5. The Provider is not liable for delays in customs proceedings or for return of the parcel to the sender caused by incorrect or undisclosed customs details on the part of the Customer.

14.6. An e-mail is deemed delivered at the moment it is sent, unless the Provider is notified of non-delivery.

15. Force majeure

15.1. The parties are entitled to suspend performance of their obligations for the duration of circumstances excluding liability ("Force Majeure"). Force Majeure includes in particular strike, epidemic, fire, natural disaster, mobilisation, war, insurrection, embargo, administrative restrictions not caused by a party, and terrorist attack.

15.2. Force Majeure excludes any claim for sanctions against the affected party.

15.3. Where Force Majeure lasts longer than 45 days, either party is entitled to withdraw from the Contract.

16. Protection of personal data

16.1. The Provider processes the Customer's personal data in accordance with Regulation (EU) 2016/679 (GDPR) and the applicable laws of the Czech Republic.

16.2. Detailed information on the processing of personal data is available in the Privacy Policy on the Provider's website.

16.3. The Customer acknowledges that an entry in the public register pursuant to Article 10 is published permanently and cannot be removed; at the Customer's request it may be anonymised.

17. Governing law and dispute resolution

17.1. Complaints are handled by the Provider via the electronic address info@vialcheck.eu. The Provider will send information on the handling of a complaint to the Customer's e-mail.

17.2. The Contract is governed by and construed in accordance with the laws of the Czech Republic, in particular the Civil Code.

17.3. The parties shall seek to resolve all disputes amicably in the first instance. Failing settlement, the competent court shall be the Czech court determined by the Provider's registered office, unless exclusive jurisdiction is laid down by law. Where the Customer is a consumer, this is without prejudice to the consumer's right to bring proceedings before the court of the consumer's domicile.

17.4. Where the Customer is a consumer, the Customer has the right to out-of-court resolution of a consumer dispute. The competent body is the Czech Trade Inspection Authority (Česká obchodní inspekce), Štěpánská 567/15, 120 00 Prague 2, www.coi.cz. The consumer may also use the online dispute resolution platform at ec.europa.eu/consumers/odr.

17.5. Information on consumer rights in the single European market is provided by the European Consumer Centre Czech Republic, Štěpánská 567/15, 120 00 Prague 2, www.evropskyspotrebitel.cz.

17.6. Supervision of personal data protection is exercised by the Office for Personal Data Protection. The Czech Trade Inspection Authority exercises supervision, within its defined scope, of compliance with Act No. 634/1992 Coll., on consumer protection.

18. Final provisions

18.1. The parties are entitled to terminate the Contract:
- a) by agreement of both parties in written or electronic form;
- b) by withdrawal of either party in the event of material breach of the provisions of these GTC.

18.2. Intellectual property rights arising from the Services provided by the Provider remain the exclusive property of the Provider.

18.3. Divergent arrangements in the Contract take precedence over these GTC.

18.4. Should any provision of these GTC be or become apparent, invalid or unenforceable, this shall not affect the validity of the remaining provisions. The parties undertake to replace any such provision with a new one reflecting the intention expressed in the original.

18.5. The Provider's official e-mail address is info@vialcheck.eu and its official internet domain is vialcheck.eu. For its own security the Customer undertakes to verify the authenticity of the e-mail address and domain.

18.6. These GTC are valid and effective from 29 September 2026. The Provider is entitled to amend or supplement these GTC unilaterally. The Provider must notify the Customer of the effective date of new terms at least 14 days in advance and send the new wording. If the Customer does not express disagreement by the effective date, the Customer agrees to the new wording.
